Important: These Terms & Conditions govern all services provided by Samz Digital, operated by Samuel Chidozie Ezeudoye, based in Nigeria. By requesting a quote, making a payment, or engaging in a project, you confirm that you have read, understood, and agreed to these terms in full.

Payment Terms
All projects require a structured payment arrangement to ensure commitment and smooth project delivery from both parties.
Standard Payment Structure
50% of the agreed project fee is due upfront before work begins. The remaining 50% is due upon project completion, before final files or live deployment are handed over.
- Work will not commence until the initial 50% deposit has been received and confirmed.
- Final deliverables, including live website access, source files, and credentials, will only be released after full payment is received.
- Payments are accepted via bank transfer or any agreed payment method confirmed before the project begins.
- All prices are quoted in Nigerian Naira (₦) unless otherwise agreed in writing.
- Invoices are due within 3 business days of being issued unless a different timeline is agreed upon.
- Late payments may result in work being paused until outstanding balances are cleared.

Revision Policy
Revisions are a normal part of the design and development process. To keep projects moving efficiently, the following revision policy applies to all projects.
- Each project includes 2–3 rounds of revisions as agreed and outlined in the project scope.
- A revision round covers reasonable changes to layout, content, colors, or structure — not a complete redesign.
- Revision requests must be submitted clearly and in writing, either via email or WhatsApp message.
- Revisions requested after the final agreed round will be treated as additional work and billed accordingly.
- Requests that represent a significant change in project direction or scope will be quoted separately.
Note
Revision rounds do not carry over between project phases. Feedback should be consolidated and submitted together rather than in multiple separate messages.

Project Timeline
Timelines are estimated at the start of each project based on the agreed scope. The following conditions apply to all project timelines.
- Project timelines begin from the date the deposit payment is received and confirmed.
- Timelines are dependent on timely delivery of required content, feedback, and approvals from the client.
- Delays caused by the client — including late content submission, slow feedback, or unresponsiveness — will extend the project timeline accordingly.
- Samz Digital will communicate any internal delays promptly and provide a revised timeline where necessary.
- Rush projects or expedited timelines may be accommodated at an additional fee, subject to availability.

Landing Pages: 5–10 working days · Business Websites: 2–4 weeks · Online Stores: 2–4 weeks · Deployment & Setup: 1–3 days · Other services: as agreed

Ownership of Work
Ownership and rights to the delivered work are transferred under the following conditions.
- Upon receipt of full and final payment, the client receives full ownership of the completed website and its custom design.
- Ownership does not transfer until all outstanding payments have been settled.
- Samz Digital retains the right to showcase completed work in its portfolio, on its website, and across social media platforms unless the client explicitly requests confidentiality in writing.
- Any third-party assets used in the project — including fonts, stock images, icons, or plugins — remain subject to their respective licensing terms. It is the client's responsibility to ensure continued compliance.
- Samz Digital retains the right to add a discreet "Built by Samz Digital" credit to delivered websites unless otherwise agreed.

Cancellation Policy
Either party may cancel a project under the following terms.
- If the client cancels the project before work has begun, the deposit is fully refundable.
- If the client cancels after work has commenced, the deposit is non-refundable. Any work completed up to the point of cancellation may be invoiced proportionally.
- If Samz Digital is unable to complete the project due to unforeseen circumstances, the client will receive a full refund for any work not yet delivered.
- Projects that are abandoned by the client — where no communication is received for 30 or more days — will be considered cancelled. The deposit will be forfeited and the project slot released.
- Cancellations must be communicated clearly and in writing via email or WhatsApp.
Project Abandonment
If a client becomes unresponsive for 30 consecutive days without prior notice, the project will be considered abandoned and the deposit forfeited. Restarting the project will require a new agreement and deposit.

Client Responsibilities
A successful project requires active participation from the client. The following responsibilities apply to all clients.
- The client is responsible for providing all required content — including text, images, logos, and product details — in a timely manner as agreed.
- The client is responsible for reviewing and approving deliverables at each agreed stage of the project.
- The client must ensure that all content provided is owned by them or properly licensed for use. Samz Digital will not be held liable for copyright infringement arising from client-provided content.
- The client is responsible for maintaining their domain registration, hosting plan, and any third-party service subscriptions after project delivery.
- The client should designate a single point of contact for all project communication to avoid conflicting instructions.
- Feedback and approvals should be provided within an agreed timeframe to avoid project delays.

Confidentiality
Both parties agree to handle sensitive information with discretion and professionalism.
- Samz Digital will not share, sell, or disclose any confidential business information provided by the client to any third party without explicit written consent.
- Login credentials, business data, and sensitive documents shared during a project will be handled securely and used solely for the purpose of delivering the agreed service.
- Clients are advised not to share sensitive passwords unnecessarily. Where access is required, credentials should be changed after project completion.
- Samz Digital reserves the right to display completed work publicly as part of its portfolio unless a written confidentiality agreement is signed prior to the project commencing.

Limitation of Liability
Samz Digital provides services in good faith and to the best of its ability. However, the following limitations apply.
- Samz Digital is not liable for any loss of revenue, business opportunities, or data resulting from the use or inability to use a delivered website.
- Samz Digital is not responsible for issues arising from third-party services, hosting providers, domain registrars, or payment gateways after the project has been delivered.
- Samz Digital does not guarantee specific business results, traffic levels, or search engine rankings as a result of any delivered service.
- In any event where Samz Digital is found liable, the maximum liability shall not exceed the total amount paid by the client for the specific service in question.
- These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be resolved through mutual negotiation before pursuing legal action.
Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. By engaging Samz Digital, you agree to submit to the jurisdiction of Nigerian law for the resolution of any disputes.
